    (a) Satisfactory completion of due diligence investigations
    (b) Execution of mutually acceptable Purchase and Sale Agreement

ARTICLE III - NON-BINDING PROVISIONS

Except for the provisions contained in Article II regarding exclusivity and confidentiality, this LOI is not intended to create, and shall not be construed as creating, any legally binding obligations. The parties' obligations shall arise only upon execution of a definitive Purchase and Sale Agreement containing terms and conditions satisfactory to both parties.

Buyer is committed to proceeding expeditiously and in good faith toward execution of definitive documentation. We appreciate your consideration and look forward to a mutually beneficial transaction.
